Terms of Service

Who we are

These terms govern use of Noviqent DevOps ("the Service") at devops.noviqent.co.uk, provided by Noviqent Ltd, company no. 17232197, registered in England & Wales ("Noviqent", "we", "us"). By creating an account or using the Service, you and your organisation accept these terms.

The Service

The Service receives a webhook from your Jira site when a ticket carries a label you choose, gathers context from your GitHub, GitLab, and Confluence, uses a large language model to write a fix, opens it as a draft pull or merge request in your repository, polls that pull request's own CI result, and comments the outcome back onto the ticket.

What the Service does not do

The Service does not merge pull requests, run your CI itself, deploy code, or execute anything against your infrastructure. It only polls the result your own CI system already reports. A draft pull request is not mergeable until a human marks it ready for review — nothing in the Service does that on your behalf.

Your account and your connectors

You're responsible for the accuracy of your account details and for keeping your credentials secure. If you're an organisation admin, you're responsible for the roles you grant other members, and for the scope of the credentials you supply for each connector — we recommend the narrowest permissions that let each connector do its job, as described in our documentation.

Acceptable use

You agree not to: connect a system you're not authorised to connect; attempt to access another organisation's data; probe, disrupt, or reverse-engineer the Service beyond what's needed for ordinary use; or resell or provide the Service to third parties without our written agreement.

Your data

You and your organisation retain all rights to the tickets, source code, and fixes the Service processes and generates for you. You grant Noviqent a limited licence to process that data solely to provide the Service, on the terms set out in our Privacy Notice and, where your organisation has one in place, your Data Processing Agreement with us. Providing the Service includes sending gathered ticket context and source code to our AI sub-processor — see the sub-processor register.

Fixes are advisory

Root-cause explanations, confidence ratings, and the file changes in a draft pull request are generated by a large language model. They are provided to help your team resolve tickets faster. They are not verified conclusions, and a high confidence rating is the model's own assessment rather than a guarantee. A proposed fix may be wrong, incomplete, or inappropriate for your codebase — a passing CI run reduces that risk but does not eliminate it.

Your organisation remains responsible for reviewing every pull request before merging it, and for the consequences of any change your people choose to merge. Nothing in the Service is a substitute for your own code review, testing, or release process.

Fees

Where your plan is a paid one, fees are as set out in your order form, invoice, or account settings, and are due as stated there.

Availability

We aim to keep the Service available and will give notice of planned maintenance where practical, but we don't guarantee uninterrupted availability unless a specific uptime commitment is separately agreed in writing.

Intellectual property

Noviqent retains all rights in the Service itself, including its pipeline, prompts, and connector implementations. Fixes and pull requests generated for your organisation are yours to use internally.

Liability

To the extent permitted by law, Noviqent's total liability arising from these terms or the Service is limited to the fees your organisation paid in the 12 months before the claim arose. Nothing in these terms limits liability that can't lawfully be limited, including for fraud or for death or personal injury caused by negligence.

Termination

Either party may terminate an account or subscription as set out in your order form, or on reasonable notice where none is specified. On termination, we'll delete your organisation's data within a reasonable period, other than what we're required to retain.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.

Changes to these terms

We'll post updates here and, where a change is material, make reasonable efforts to notify organisation admins directly.
